Public Offer for Software Development and Configuration Services

Version of 18 October 2026. Translation; in case of discrepancies the Ukrainian version prevails.

1. General provisions

1.1. This document is a public offer by the individual entrepreneur Nataliia Borysivna Herasymiuk (FOP Herasymiuk; hereinafter the "Contractor") to enter into a services agreement on the terms set out below (the "Agreement"), in accordance with Articles 633 and 641 of the Civil Code of Ukraine.

1.2. The Client is any individual, individual entrepreneur or legal entity that has accepted this offer.

1.3. The offer is accepted when the Client pays the Contractor's invoice (in full or the first payment under the schedule) by bank transfer or by card. From the moment of acceptance the Agreement is concluded.

1.4. If the Parties have signed a separate written agreement (including electronically with a qualified e-signature), its terms prevail; this offer applies to matters it does not cover.

1.5. The Contractor operates under the Lambertain brand (website lambertain.site, client portal on the same site).

2. Definitions

  • Proposal — the Contractor's commercial proposal describing the scope, price, timeline and payment schedule, sent to the Client after a brief or interview.
  • Specification — the agreed description of the result: features, screens, integrations and acceptance criteria. It is part of the Proposal or the agreement.
  • Portal — the Client's workspace on the Contractor's website where tasks, acceptance, invoices and project correspondence are handled.
  • Block (stage) — a part of the work under the Specification that is delivered and accepted separately.

3. Subject

3.1. The Contractor provides IT services to the Client, and the Client accepts and pays for them: development of websites and online stores; development, implementation and configuration of CRM and ERP systems; development of Telegram bots and mini apps; business process automation and service integrations; integration of artificial intelligence solutions; search engine optimisation (SEO); advertising setup and management; maintenance and further development of software.

3.2. The specific scope, result, timeline and price are defined by the Proposal and the Specification agreed by the Client before payment.

4. How to order

4.1. The Client submits a request on the website (form or chat), in Telegram or by e-mail.

4.2. The Contractor clarifies the task through a brief, questionnaire or interview and sends a Proposal with the price, timeline and payment schedule.

4.3. The Client approves the Proposal. At the request of either Party a separate written agreement is signed.

4.4. The Contractor issues an invoice in the Portal. Payment of the invoice constitutes acceptance of this offer (clause 1.3) and the basis for starting work.

5. Price and payment

5.1. Prices are stated in Ukrainian hryvnia (UAH) in the Proposal and the invoice. The Contractor is not a VAT payer.

5.2. Payment is made in stages according to the payment schedule in the Proposal or agreement. The first payment is a prepayment. Each subsequent payment becomes due on the event stated in the schedule (as a rule, delivery of the relevant Block for acceptance).

5.3. An invoice is payable within 5 banking days of the payment event. The payment date is the day the funds are credited to the Contractor's account.

5.4. Payment methods:

  • bank transfer to the details stated in the invoice;
  • Visa or Mastercard card (as well as Apple Pay, Google Pay) on the invoice page, via the monobank payment service (JSC Universal Bank).

5.5. The amount payable is the same whichever method is used. No surcharge or fee is charged to the Client for paying by card. Card data is processed by the payment service; the Contractor neither receives nor stores it.

5.6. The price of agreed work does not change during its performance, except for a change of scope under clause 7.5.

5.7. Third-party services (domain, hosting, paid APIs, software subscriptions) are paid by the Client directly to the providers on the Client's own accounts, unless agreed otherwise in writing.

5.8. If a payment is more than 5 banking days overdue, the Contractor may suspend work until the funds arrive; deadlines are extended by the period of suspension.

6. Timeline

6.1. Deadlines are stated in the Proposal or agreement and run from the day the prepayment is credited.

6.2. Deadlines are extended by the time during which the Client has not provided required materials, access or answers (the Portal records the days spent waiting for the Client), and by the duration of force majeure.

6.3. The Contractor may perform Blocks in parallel or ahead of schedule; this does not change the price or payment events.

7. Acceptance and revisions

7.1. Delivery of a Block for acceptance is recorded in the Portal. The Client accepts the Block or submits reasoned objections referring to items of the Specification within 5 business days. Otherwise the Block is deemed accepted.

7.2. Individual tasks within a Block are accepted in the Portal. A delivered task waits for the Client's response for 3 business days (72 hours) with reminders; without a response it is accepted automatically. Automatic acceptance does not deprive the Client of the right to return the task for rework later.

7.3. The Portal record (who accepted what and when) confirms that the services were rendered; a separate certificate is drawn up at the Client's request.

7.4. Revisions after acceptance:

  • a defect (the implementation does not work as specified) is always fixed free of charge;
  • a change (doing differently something already covered by the Specification) is free twice per task, after that it is quoted separately;
  • a revision that cannot be clearly classified as a defect or a change is treated as a defect.

7.5. New functionality (anything not in the Specification) is paid separately: the Contractor sends a priced proposal in the Portal, and work starts after the Client confirms it.

8. Warranty

8.1. After acceptance a warranty period applies during which the Contractor fixes defects free of charge: 30 days for websites and bots, 60 days for CRM/ERP and mobile apps, 90 days for platform implementations, unless a different period is stated in the Proposal or agreement.

8.2. The warranty does not cover new functionality, changes to agreed logic, failures of third-party services, changes made by the Client or third parties, or changes to third-party APIs or platform rules after acceptance.

8.3. The Contractor does not guarantee specific search rankings, traffic, number of leads or sales: what is guaranteed is delivery of the agreed technical scope.

9. Cancellation and refunds

9.1. The Client may withdraw from the Agreement at any time by notifying the Contractor in writing (e-mail or Portal).

9.2. Settlement and refunds on cancellation are governed by the Refund Policy on the Contractor's website, which forms an integral part of this offer. In short: work paid for but not started is refunded in full; for a Block in progress, the part corresponding to the unfinished scope is refunded; accepted Blocks are not refundable.

10. Rights and obligations

10.1. The Contractor undertakes to render the services properly and on time, keep the Client informed of progress in the Portal, and keep received information confidential.

10.2. The Client undertakes to provide materials, access and answers in good time, accept work in the Portal and pay according to the schedule.

10.3. Access to the Client's services is granted personally to the person performing the work and may be revoked by the Client after completion.

11. Intellectual property

11.1. Economic rights to the result created under the Agreement pass to the Client upon full payment for the relevant Block. The Contractor may use general libraries, know-how and tools not created specifically for the Client.

11.2. The Contractor may mention the cooperation in its portfolio without disclosing confidential information, unless the Client objects.

12. Liability

12.1. For late performance of their obligations the Parties pay a penalty of 0.1% of the overdue payment (or the value of the overdue Block) per day of delay, capped at 10% of that amount.

12.2. The Contractor's total liability is limited to the price of the relevant Block. The Contractor is not liable for lost profits or indirect damages.

12.3. The Parties are released from liability for non-performance caused by force majeure certified in accordance with the law.

13. Confidentiality and personal data

13.1. The Parties keep information received in connection with the Agreement confidential during its term and for 3 years after completion.

13.2. Personal data is processed in accordance with the Privacy Policy on the Contractor's website. By accepting the offer the Client consents to such processing.

14. Disputes

14.1. Disputes are resolved through negotiation. A claim is considered within 14 calendar days of receipt.

14.2. If no agreement is reached, the dispute is referred to a court in accordance with the laws of Ukraine.

15. Term and amendments

15.1. The Agreement remains in force until the Parties have fully performed their obligations.

15.2. The Contractor may amend this offer by publishing a new version on the website. Amendments do not apply to work paid for before the new version is published.
